TERMS AND CONDITIONS Welcome to SPCC Consulting Firm ("SPCC"). These Terms and Conditions ("Terms") govern the use of SPCC's immigration consulting services (the "Services") provided by SPCC to you ("you", "your" or "Consumer"). Services 1.1 SPCC provides immigration consulting services to Consumers who wish to immigrate to Canada. SPCC's services include, but are not limited to, providing advice and assistance with visa applications, work permits, permanent residency applications, and citizenship applications. 1.2 SPCC will provide the Services to the best of its abilities and in accordance with the Consumer's instructions. SPCC will keep the Consumer informed about the progress of their application and will provide updates as necessary. 1.3 The Consumer agrees to provide SPCC with all necessary information and documentation required for the provision of the Services. 1.4 The Consumer acknowledges that SPCC is not a law firm and that the Services provided by SPCC do not constitute legal advice. Fees and Refunds 2.1 The fees for the Services provided by SPCC are as set out in the Consumer's engagement letter. The fees are subject to change at SPCC's discretion, with notice to the Consumer. 2.2 If the Consumer cancels the Services before the work has been started, SPCC will refund the Consumer the fees paid, less a 10% administrative fee. 2.3 If the Consumer cancels the Services after the work has been started, SPCC will refund the Consumer the fees paid, less the value of the work performed, and less a 10% administrative fee. 2.4 If the Consumer's application is rejected by the Canadian government, SPCC will refund the Consumer the fees paid, less a 10% administrative fee. The Consumer must provide SPCC with a copy of the rejection letter from the Canadian government. 2.5 If the Consumer's application is withdrawn by the Consumer, SPCC will not refund any fees paid. Consumer Protections 3.1 SPCC is a member in good standing of the Immigration Consultants of Canada Regulatory Council ("ICCRC"). SPCC adheres to the ICCRC Code of Professional Ethics and the ICCRC Bylaws. 3.2 SPCC maintains professional liability insurance in accordance with the requirements of the ICCRC. 3.3 SPCC agrees to indemnify and hold the Consumer harmless from any losses or damages resulting from the negligence or misconduct of SPCC, its employees or agents, in providing the Services. Confidentiality 4.1 SPCC agrees to keep all information provided by the Consumer confidential, except as required by law or as authorized by the Consumer. 4.2 The Consumer agrees to keep all information provided by SPCC confidential, except as required by law or as authorized by SPCC. Governing Law and Jurisdiction 5.1 These Terms and the provision of the Services shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. 5.2 Any dispute arising out of or in connection with these Terms or the provision of the Services shall be submitted to the exclusive jurisdiction of the courts of the Province of Alberta. General 6.1 These Terms constitute the entire agreement between the Consumer and SPCC with respect to the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the Consumer and SPCC. 6.2 SPCC may amend these Terms at any time by posting the amended Terms on its website. 6.3 The Consumer may not assign these Terms or any rights or obligations hereunder, without the prior written consent of SPCC. 6.4 These Terms shall be binding upon and inure to the benefit of the parties her

ein and their respective successors and permitted assigns.

6.5 If any provision of these Terms is found to be invalid or unenforceable, such provision shall be deemed to be severed from these Terms and the remainder of these Terms shall continue in full force and effect.

6.6 No waiver of any breach of these Terms shall be deemed to be a waiver of any other or subsequent breach.

6.7 The headings used in these Terms are for convenience only and shall not affect the interpretation of these Terms.

By using the Services provided by SPCC, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, please do not use the Services provided by SPCC.
